¶1I concur in the result; but I cannot agree with the majority of the court in holding that a stockholder, who is himself a creditor of the corporation, cannot maintain an action at law directly against another stockholder who has not paid up his subscription. See Smith v. Londoner, 5 Col. 365.

Judgment was entered against defendant, and he appealed to the district court.
