Most-quoted passages
The sentences later courts lift from this opinion, ranked by how many decisions quote each — the parts of the opinion doing the work. These counts are smaller than the citation total above because most of the 12 citing decisions cite the case generally; a passage count includes only decisions quoting that exact language verbatim.
“[Although courts are hesitant to inquire into the reasonableness of executive compensation when it is fixed by a disinterested board, the standard for fixing executive compensation is obviously more strict when it is fixed by the recipient himself. And where ... the recipient’s vote as a director was necessary to the fixing of the amount of compensation, then the burden of showing the reasonableness of such compensation clearly falls upon its recipient [sic]. This is so, of course, because of the fiduciary position which directors hold towards their corporation and its stockholders.”
