“[T]he premise is incorrect. Vornado’s offer was not superior to Blackstone’s. The difference between $55.50 and $56 is less than 1 percent, and while Blackstone was prepared to pay the full price for EO on closing, Vornado could not have completed the purchase of EO until and unless its shareholders approved the acquisition, which would take months.
