“Joint adventures, commonly referred to as joint ventures, are a species of and are governed by the law of partnerships. * * * * The Uniform Partnership Act * * * defines a partnership as “an association of two or more persons to carry on as co-owners a business for profit.” This section has been interpreted as requiring the parties to agree to share in some way in the profits and losses of the business venture.
