If Plant, within the scope of his office, had knowledge of a fact which it was his duty to declare, and not to his interest to conceal, then his knowledge is to be treated as that of the bank... But if the fact... were matters which it was to his interest to conceal, the law does not by a fiction charge the [principal]... with notice of facts which the agent not only did not disclose, but which he was interested in concealing.
