This assignment having passed, not a legal, but an equitable right to a chose in action, was subject to the same equity in the hands of the Holland company, as it was in the hands of Gouverneur Morris, whether the Holland company had actual notice of that equity or not; because nothing but the equitable right of Gouverneur Morris passed by the assignment.
