Black's Law Dictionary

An association where the liability of all the partners is limited. It had fin England until lately no other name than that of "chartered company," meaning thereby a joint-stock company whose shareholders, by a charter from the crown, or a special enactment of the legislature, stood exempted from any liability for the debts of the concern, bevond the amount of their subscriptions.
