Definitions from Case Law
United States Supreme Court
Under § 16(b) a director is to pay to his company only 'any profit realized by him' from short-swing transactions; a partner-director 'realizes' only his proportionate share of partnership profits, not the full amount earned by the partnership as a whole, and it 'would be nothing but a fiction' to hold him liable for profits he did not make.
Defined by the Supreme Court in - Blau v. Lehman, 368 U.S. 403 (1962).
