Limitations on revocation of certificate of authority

Known as the Alaska Corporations Code

The act spans §§ 10–10 (251 sections).

The commissioner may not revoke a certificate of authority of a foreign corporation unless the (1) commissioner has given the corporation at least 60 days notice by certified mail addressed to its registered office in this state; and

(2) corporation fails before revocation to file the biennial report, or pay the fees, corporation taxes, or penalties, or file the required statement of change of registered agent or registered office, or file the articles of merger, or correct the misrepresentation.
