Termination of status as benefit corporation

Known as the Massachusetts Benefit Corporation Act

The act spans §§ 156–156 (16 sections).

A benefit corporation may terminate its status as a benefit corporation and cease to be subject to this chapter by amending its articles of organization to delete the statement required by sections 4 and 5 that the corporation is a benefit corporation. In order to be effective, the amendment shall be adopted by at least the minimum status vote.
