N.H. Rev. Stat. Ann. § 228:87

Every common carrier by rail issuing stocks, bonds or other evidence of indebtedness subject to the provisions hereof shall file with the department an account showing, in such detail as the department shall require, the disposition of the proceeds of such issue.
