§ 414. Amendment. A society may amend its certificate of incorporation\nat any time, provided that such amendment contains only such provisions\nas might be properly contained in an original certificate of\nincorporation filed at the time of making such amendment. Any such\namendment must be authorized by vote of two-thirds of the members of the\nsociety present and voting at a meeting called for that purpose. A\ncertificate amending the certificate of incorporation shall be signed\nand verified by the president or chairman of the board of trustees,\nshall be filed in the same manner as an original certificate of\nincorporation and shall contain the following:\n (1) The name of the society and, if it has been changed, the name\nunder which it was originally incorporated.\n (2) The date and place of filing of the original certificate of\nincorporation and any subsequent amendments thereto.\n (3) Each amendment effected thereby.\n (4) A statement as to due compliance with the provisions in this\nsection as to the authorization of the filing of the certificate of\namendment.\n
