ORS 63.051

Known as the Oregon Limited Liability Company Act

The act spans §§ 63–63 (137 sections).

1993 c.173 §16

(1) Unless a delayed effective date is specified in the articles of organization, the limited liability company’s existence begins when the articles of organization are filed by the Secretary of State.

(2) The Secretary of State’s filing of the articles of organization is conclusive proof that all conditions precedent to organization were satisfied except in a proceeding by the state to cancel or revoke the organization or involuntarily dissolve the limited liability company.
