Formation and election

Known as the Tennessee Revised Limited Liability Company Act

The act spans §§ 48-249-1001 to 48-249-914 (146 sections).

(1) Formation. One (1) or more persons may, acting as organizers, form a PLLC, by filing articles of organization with the secretary of state, that comply with the applicable provisions of this chapter, including § 48-249-1108, and that also state that: It is a PLLC;

(2) Its purpose is to render specified professional services; and

(3) The PLLC has one (1) or more qualified persons as members and no disqualified persons as members or holders.

(4) Election. An LLC may elect professional LLC status by amending its articles to comply with subsection (a).
