REMOVAL FROM OFFICE

(a) After reasonable notice and a public hearing, the board may remove a director from office for misfeasance, malfeasance, or wilful neglect of duty.

(b) Reasonable notice and a public hearing are not required if the notice and hearing are expressly waived in writing.
