In a merger, the company that continues to exist retains its name and identity and acquires the assets, liabilities, franchises, and powers of the corporation that ceases to exist. Attorneys who practice in mergers and acquisitions (sometimes called M & A) represent corporations and other business entities in strategizing, negotiating, and carrying out transactions in which two or more companies or corporations combine into a single new entity, a merger, or where one business purchases and absorbs the assets of another, an acquisition.
Napanoch is a hamlet in Ulster County, New York. It is at the junction of routes 209 and 55. It is on the Shawangunk Ridge National Scenic Byway, and is part of the Hudson River Valley National Heritage Area. According to the United States Census Bureau, the CDP has a total area of 1.2 square miles (3.2 km²), of which, 1.2 square miles (3.1 km²) of it is land and 0.04 square miles (0.1 km²) of it (2.46%) is water.
