N.Y. REL Law § 17

§ 17. Meetings of members. (a) An annual meeting of the members of a\ncooperative shall be held at such time and place as shall be provided in\nthe by-laws.\n (b) Special meetings of the members may be called by the president, by\nthe board of directors, by any three directors, or by not less than ten\nper centum of the members.\n (c) Except as otherwise provided in this chapter written or printed\nnotice stating the time and place of each meeting of the members and, in\nthe case of a special meeting, the purpose or purposes for which the\nmeeting is called, shall be given to each member, either personally or\nby mail, not less than ten days nor more than twenty-five days before\nthe date of the meeting. If mailed, such notice shall be deemed to be\ngiven when deposited in the United States mail with postage prepaid\naddressed to the member at his address as it appears on the records of\nthe cooperative.\n (d) Unless the by-laws prescribe the presence of a greater percentage\nor number of the members for a quorum, a quorum for the transaction of\nbusiness at all meetings of the members of a cooperative having not more\nthan one thousand members, shall be five per centum of all members,\npresent in person, and of a cooperative having more than one thousand\nmembers, shall be fifty members, present in person. If less than a\nquorum is present at any meeting, a majority of those present in person\nmay adjourn the meeting from time to time without further notice.\n (e) Each member shall be entitled to one vote on each matter submitted\nto a vote at a meeting of the members. Voting shall be in person, but,\nif the by-laws so provide, may also be by proxy or by mail, or both. If\nthe by-laws provide for voting by proxy or by mail, they shall also\nprescribe the conditions under which such voting shall be permitted. No\nperson shall vote as proxy for more than three members at any meeting of\nthe members.\n
