A shortened form of "procuracy:" procuration, agency. A person empowered to act for another, as, to vote a share or shares of the capital stock of a corporation; also, the authority itself to represent the constituent.'' Shareholders cannot vote by proxy without special provision in the charter so to do." The right of voting by proxy at the meetings of an incorporated company is not a general right, and the party who claims it must show a special authority; but where, rejecting all votes cast by proxy, there is still a majority, the minority are bound.* A shareholder in a national bank may vote by proxy, but no officer or employee of the bank may act as proxy."
